1. About these terms

These Terms and Conditions ("Terms") govern your access to and use of the MyCitiPad landlord portal (the "Portal"), operated by MyCitiPad Limited ("MyCitiPad", "we", "us" or "our"). By registering for, accessing or using the Portal, you ("you", "your" or the "Landlord") agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Portal.

These Terms apply to your use of the Portal only. They do not replace or override any separate management agreement, terms of business, or service agreement in place between you and MyCitiPad, which continue to govern the underlying services provided to you.

2. Definitions

"Account" means the secure account created for you to access the Portal. "Content" means all information, documents, data and materials made available through the Portal. "Portal" means the MyCitiPad online landlord portal and any associated features, tools or applications. "Services" means the property management, lettings and related services provided by MyCitiPad. "User" means any individual authorised to access the Portal using your Account.

3. Eligibility and registration

To use the Portal, you must be at least 18 years of age and have the legal authority to enter into these Terms, whether on your own behalf or on behalf of a company or other entity that owns or is responsible for the relevant property.

When registering, you agree to provide accurate, current and complete information, and to keep that information up to date. We reserve the right to suspend or refuse access where information provided is inaccurate, incomplete or misleading.

4. Your account and security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that takes place under your Account. You agree not to share your login details with any unauthorised person.

You must notify us immediately if you become aware of, or suspect, any unauthorised access to or use of your Account. We are not liable for any loss arising from unauthorised use of your Account where you have failed to keep your credentials secure.

5. Access to the Portal

The Portal is provided to give you convenient online access to information relating to your property or portfolio, which may include tenancy details, statements, payments, documents, compliance records, maintenance updates and other related information.

We grant you a non-exclusive, non-transferable, revocable licence to access and use the Portal for your own legitimate purposes in connection with the Services. This licence exists only for as long as you hold an active relationship with MyCitiPad, and may be withdrawn in accordance with these Terms.

6. Acceptable use

You agree to use the Portal lawfully and only for the purposes for which it is intended. In particular, you agree that you will not:

  • attempt to gain unauthorised access to any part of the Portal, its systems or networks;
  • use the Portal in any way that is unlawful, fraudulent or harmful;
  • introduce any virus, malware or other malicious code;
  • copy, reproduce, distribute or exploit any part of the Portal or its Content except as expressly permitted;
  • interfere with or disrupt the operation, security or performance of the Portal; or
  • use the Portal to store or transmit any material that is unlawful, defamatory or infringes the rights of others.

We reserve the right to suspend or terminate your access immediately if we reasonably believe you have breached this section.

7. Information and accuracy of Content

We take reasonable care to ensure that the information made available through the Portal is accurate and up to date. However, the Portal is provided for information and convenience only, and Content may be subject to change, delay or updating.

Where there is any inconsistency between information displayed on the Portal and your formal statements, agreements or official records held by MyCitiPad, those formal records shall take precedence. The Portal should not be relied upon as the sole basis for any financial, legal or business decision.

8. Documents and records

The Portal may allow you to view and download documents relating to your property, such as statements, certificates and reports. You are responsible for retaining your own copies of any documents you require for your records, tax purposes or otherwise.

We do not guarantee that documents will remain available on the Portal indefinitely, and we may remove or archive older Content from time to time.

9. Payments and statements

Where the Portal displays payment information, statements or financial summaries, this is provided for transparency and convenience. The processing of any actual payments is governed by your separate agreement with MyCitiPad and by the terms of any third-party payment provider used.

We are not responsible for any errors, delays or failures caused by third-party banking or payment systems outside our reasonable control.

10. Availability and changes to the Portal

We aim to keep the Portal available and functioning, but we do not guarantee that it will be available uninterrupted or error-free. Access may be suspended temporarily for maintenance, updates, technical issues or reasons beyond our control.

We may add, change, suspend or remove features of the Portal at any time without notice. We will not be liable to you for any modification, suspension or discontinuation of the Portal or any part of it.

11. Data protection and privacy

We process personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Details of how we collect, use, store and protect your personal data are set out in our Privacy Policy, which forms part of these Terms.

By using the Portal, you acknowledge that you have read our Privacy Policy and understand how your personal data will be handled. You are responsible for ensuring that any personal data you provide about third parties (such as tenants) is provided lawfully and in accordance with applicable data-protection law.

12. Intellectual property

All intellectual property rights in the Portal, including its design, software, layout, branding, text and graphics, are owned by or licensed to MyCitiPad Limited. Nothing in these Terms transfers any such rights to you.

You may not copy, modify, reproduce, republish, distribute or create derivative works from any part of the Portal without our prior written consent.

13. Third-party services and links

The Portal may integrate with, or contain links to, third-party services, websites or systems. We do not control and are not responsible for the content, availability, security or practices of any third-party service, and your use of them is at your own risk and subject to their own terms.

14. Limitation of liability

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law.

Subject to the above, the Portal is provided on an "as available" basis, and to the fullest extent permitted by law we exclude all warranties, conditions and representations, whether express or implied, in relation to the Portal. We will not be liable for any indirect, consequential or economic loss, or for any loss of data, profit, goodwill or business, arising from your use of, or inability to use, the Portal.

15. Indemnity

You agree to indemnify and hold harmless MyCitiPad Limited, its officers, employees and agents against any claims, losses, liabilities, damages, costs and expenses arising from your breach of these Terms or your misuse of the Portal.

16. Suspension and termination

We may suspend or terminate your access to the Portal at any time, with or without notice, including where you breach these Terms, where your relationship with MyCitiPad ends, or where we reasonably consider it necessary to protect the Portal, our business or other users.

On termination, your right to access the Portal will cease immediately. Termination does not affect any rights or obligations that accrued before it, or any provisions intended to survive termination.

17. Changes to these Terms

We may update these Terms from time to time to reflect changes in our services, technology, legal requirements or business practices. Where we make material changes, we will take reasonable steps to notify you, for example by posting the updated Terms on the Portal.

Your continued use of the Portal after any change takes effect constitutes your acceptance of the revised Terms. If you do not accept the changes, you must stop using the Portal.

18. General

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any provision does not amount to a waiver of it.

You may not transfer or assign your rights under these Terms without our prior written consent. We may transfer or assign our rights and obligations to another party.

19. Governing law and jurisdiction

These Terms and any dispute arising out of or in connection with them are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
